Terms and Conditions
The following terms and conditions apply to the purchase of products and/or services available on our website and listed in our catalogue from The Stevens Company Limited (“Stevens”) by you, the customer (“the Customer”). Stevens reserves the right to modify these terms and conditions in its sole discretion, without liability and without prior notice to the Customer. By continuing to purchase the products and/or use the services available, the Customer acknowledges and accepts any changes to the terms and conditions. These terms and conditions apply to all purchase and service orders made from time to time between Stevens and the Customer.
1. PRODUCT INFORMATION
- a) All product descriptions and performance claims have been supplied to Stevens by the manufacturer and are as accurate as possible (errors and omissions excepted). Except as specifically set out by Stevens, Stevens does not make any express or implied warranties regarding the products, their descriptions or performance claims.
- b) Our website and catalogues do not list all products available through Stevens, but rather a comprehensive selection of popular products. Please contact Stevens Customer Service department as to the availability of other products not listed. These terms and conditions will apply to all products purchased from Stevens, whether or not they are featured or otherwise available on our website or in our catalogue.
- c) We have been very diligent to match product numbers with photos. However, some items may not be exactly as shown. Photos shown may include additional accessories or optional parts that are not included unless specifically purchased.
2. PRICING
- a) Prices quoted are based on the Customer’s estimated usage for the period specified and are subject to change in accordance with these terms and conditions.
- b) Prices quoted do not include taxes unless specified. All taxes are extra where applicable.
- c) Taxes will be calculated based on ship-to destination location.
- d) Prices are per ship-to delivery terms.
- e) In the event of fluctuations in exchange rates, raw material costs or fuel surcharges, which results in cost increases, prices may be adjusted accordingly.
- f) Our endeavor is to solidify pricing on an annual basis whenever possible, however in the event of a price increase or decrease on the part of the manufacturer, prices quoted may be increased or decreased accordingly.
- g) Any pricing errors or discrepancies will be promptly corrected upon notification of the error.
3. MINIMUM ORDER POLICY
- a) A minimum order fee may apply. Unless otherwise stated, a minimum order quantity is required for all orders. The minimum order quantity must be met to waive the minimum order fee.
4. PRODUCT DELIVERY
- a) Orders may be subject to a shipping and handling fee.
- b) Some products are deemed to be dangerous goods by the Ministry of Transportation and as such are subject to additional shipping charges.
- c) All external damages or shortages must be noted at the time of delivery on the carrier's delivery receipt and the driver must countersign that notation.
- d) The customer is responsible for inspecting all shipments including drop shipments. All damage and shortage claims must be reported to Stevens Customer Service department within 5 days of receipt of goods. Damages to capital equipment are required to be reported immediately.
- e) Stevens will use commercially reasonable efforts to supply a suitable replacement product in the event of force majeure. Force majeure means any cause beyond the control of a party such as, but not limited to, acts of God, fire, epidemics, pandemics, earthquakes, floods, draughts, war, terrorism, and strikes.
5. PAYMENT TERMS
- a) Standard order payment terms are net 30 days from date of invoice, unless otherwise stated, and subject to credit approval.
- b) Credit card transaction payments are at the time of the order, or with previously agreed upon payment terms, with a valid credit card number. Orders will not be shipped until payment or credit card pre-authorization has been received. By providing Stevens with a credit card number to be used, the Customer authorizes Stevens to charge the credit card the total amount of the order. Stevens will not be held responsible for insufficient funds to complete the transaction and any insufficient fund charges will be the responsibility of the Customer.
6. RETURNED GOODS POLICY
- a) Goods are not returnable without prior written authorization. To initiate a return, please contact Stevens Customer Service department.
- b) All returns must be within 10 days from date of authorization.
- c) Items returned must be in resaleable condition, in original packaging and must conform to current manufacturing specifications.
- d) Any credit for authorized returns will be subject to inspection to ascertain that goods are in saleable condition and have passed any other inspection requirements deemed necessary at the discretion of Stevens. Any repackaging or reconditioning costs will be deducted from credit owed.
- e) Dated, temperature-controlled and special order products cannot be returned. Exceptions will be granted only as a result of Stevens’ error, or product failure.
- f) Sterile goods that are not special order products may be returned if in resalable condition.
- g) Lot control numbers must be recorded on the request for return authorization form for all dated and sterile items.
- h) Unauthorized returns may not be accepted and may be returned to the sender at the sender’s expense or disposed of at the sender’s request.
- i) Items unacceptable to Stevens for credit or exchange, but of value to sender, will be returned at sender's expense. Otherwise, Stevens reserves the right to dispose of broken, used, non-salvageable, unacceptable items without recourse.
- j) To prevent the costs involved with the return of inventory that is excessive or obsolete we may request that some products be disposed of or donated by Customer’s location.
- k) Merchandise shall be returned with shipping costs prepaid, unless it is an error by Stevens.
- l) If a return is shipped collect, the return may be refused, or the freight costs incurred may be charged back.
- m) Restocking charges may apply for products ordered in error.
- n) Restocking charges will be waived in the event that the return is due to an error by Stevens.
7. PRODUCT COMPLAINTS
- a) Product complaints due to dangerous or defective items must be made promptly. To log a product complaint, please contact Stevens Customer Service department.
- b) Product complaints must be logged before the product can be returned.
- c) Stevens shall not be held responsible for any failure on the part of the manufacturer to supply said merchandise free from any and all defects, and/or possible changes in manufacturing specifications which are beyond our control and Customer indemnifies Stevens from all such liability.
- d) Stevens will replace, without cost, any merchandise proven to be defective that is returned to it in accordance with the provisions of these terms and conditions.
8. REPAIRS
- a) Stevens offers repair services for most products sold by it or will assist in coordinating repairs directly with the manufacturer.
- b) Repair times may vary based on parts availability, shipping time and demand.
- c) Please contact Stevens Customer Service department for a Return Merchandise Authorization (RMA) prior to shipping items for repair.
- d) Stevens shall not be held responsible for the quality of any repair services provided directly by the manufacturer and Customer indemnifies Stevens from all such liability.
9. WARRANTY
- a) Warranties vary by product and are provided directly by the manufacturer. Please note warranty information is included in product descriptions where applicable.
- b) Stevens will use commercially reasonable efforts to assist in the coordination of warranty repairs with the manufacturer and in many cases will repair or replace the products as required on behalf of the manufacturer.
- c) Please contact Stevens Customer Service department for a Return Merchandise Authorization (RMA) prior to shipping items for warranty.
10. CONFIDENTIALITY
The terms and conditions of this Agreement are confidential to Stevens and the Customer. They are not to be disseminated, distributed, or otherwise conveyed to third persons, other than those officials and employees of either party whose duties require knowledge thereof, without the expressed written consent of both parties, except in the pursuit of legal redress in the courts of law or in pursuit of the direction of any competent legal authority.
11. PRIVACY
At Stevens, we respect Customer’s privacy and information provided to us will not be sold for any reason. We may disclose personal information in special cases if required to do so by law, court order or other government or law enforcement authority.
